User-Generated Content

Study Nook allows users to create, share, and publish educational content such as study materials, notes, tests, flash cards, and other learning resources ("User Content"). As the creator of such content, you are solely responsible for ensuring that your submissions comply with applicable laws and these Terms of Service.

By uploading content to our platform, you represent that you have the legal right to share such materials and that they do not violate copyright, trademark, privacy, or other legal protections.

License to Use Your Content

You retain ownership of any content you create on Study Nook. However, to enable our platform to function properly, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your content in connection with operating and providing the Study Nook services. This license allows us to operate the platform's core features like content discovery and collaborative learning.

We do not claim ownership of your educational materials, but we are not responsible for monitoring or controlling what users post. While we may review content for compliance with our policies, users are ultimately accountable for their own submissions.

AI-Powered Learning Features

Study Nook integrates advanced artificial intelligence technology to support your educational journey through various features including our Study Mate assistant, automated question generation, and homework analysis tools. These AI capabilities are designed to enhance your learning experience and help you create effective study materials.

While our AI technology is sophisticated, it is important to understand that all automated content should be reviewed for accuracy. AI-generated responses may contain errors, inaccuracies, or content that doesn't reflect real-world facts. We encourage you to verify important information independently and use your judgment when relying on AI-assisted content for academic work. Study Nook is not responsible for any consequences arising from reliance on AI-generated content.

Copyright and DMCA Policy

Study Nook respects the intellectual property rights of others and expects users to do the same. We will respond to valid notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA) and may terminate accounts of repeat infringers.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please submit a report using our Report Content feature available on each piece of content, selecting "Copyright Violation" as the reason. Your report should include:

• Identification of the copyrighted work claimed to have been infringed
• A description of where the infringing material is located on our platform
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

You can access the Report Content feature by clicking the report button on any flash card set, test, or other user-generated content on our platform.

Study Nook Content

All software, branding, and materials provided by Study Nook are the property of Study Nook, LLC and are protected by intellectual property laws. You may not copy, distribute, or reverse-engineer any part of the service without prior written consent.

Subscription Plans

Study Nook offers the following subscription tiers:

• Free Plan: Limited access to core features with usage restrictions on AI-generated content
• Study Ultimate: Full access to all features, expanded AI usage, and unlimited classes

Current pricing for each plan is displayed on our website and within the application before purchase. Prices are subject to change with notice to existing subscribers.

Billing and Auto-Renewal

Important: All paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your selected plan) unless you cancel at least 24 hours before the renewal date. Your payment method on file will be automatically charged the applicable subscription fee for the next billing period.

By subscribing, you authorize Study Nook (or our payment processors) to charge your payment method on a recurring basis for the subscription fees plus any applicable taxes, until you cancel.

How to Cancel Your Subscription

You may cancel your subscription at any time through the following methods:

• iOS (Apple App Store): Go to Settings > [Your Name] > Subscriptions > Study Nook > Cancel Subscription
• Android (Google Play Store): Open Google Play Store > Menu > Subscriptions > Study Nook > Cancel Subscription
• Web: Log in to your account at studynook.education, go to Account Settings > Subscription, and click "Cancel Subscription"

Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until then.

Free Trials

We may offer free trial periods for certain subscription plans. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription, and your payment method will be charged the applicable subscription fee. Trial eligibility is determined by Study Nook and may be limited to one trial per user.

Refund Policy

All subscription fees are non-refundable except as required by applicable law. For subscriptions purchased through the Apple App Store or Google Play Store, refund requests must be directed to Apple or Google, respectively, as they control the refund process for in-app purchases.

In-App Purchases

Certain features or content within the Study Nook mobile application may be available for purchase ("In-App Purchases"). All In-App Purchases are final and non-refundable, except as required by applicable law. You can restore previously purchased content by using the restore purchases feature within the app.

License Grant

Subject to your compliance with these Terms, Study Nook grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Study Nook mobile application on devices that you own or control, solely for your personal, non-commercial educational purposes.

License Restrictions

You may not:

• Copy, modify, or distribute the application
• Reverse engineer, decompile, or disassemble the application
• Rent, lease, lend, sell, or sublicense the application
• Use the application for any commercial purpose without our prior written consent
• Remove, alter, or obscure any proprietary notices on the application

Updates

Study Nook may from time to time develop and provide application updates, which may include upgrades, bug fixes, patches, and other improvements. Updates may also modify or delete features or functionality. You agree that Study Nook has no obligation to provide any updates or to continue to provide or enable any particular features or functionality.

Apple App Store

If you downloaded the Study Nook application from Apple's App Store, the following terms apply:

• You acknowledge that this Agreement is between you and Study Nook only, not with Apple Inc. ("Apple"), and Apple is not responsible for the application or its content.
• Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the application.
• In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the application (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the application.
• Apple is not responsible for addressing any claims by you or any third party relating to the application or your possession and/or use of the application, including: (i) product liability claims; (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
• In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, Study Nook, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with applicable third-party terms of agreement when using the application (e.g., your wireless data service agreement).
• You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

Google Play Store

If you downloaded the Study Nook application from the Google Play Store, the following terms apply:

• You acknowledge that this Agreement is between you and Study Nook only, not with Google LLC ("Google"), and Google is not responsible for the application or its content.
• Your use of the application must comply with Google Play's current Terms of Service.
• Google is only a provider of the Google Play Store platform and has no obligation or liability to you with respect to the application or these Terms.
• Study Nook, not Google, is solely responsible for the application, including any product warranties, user support, and claims related to the application.

Image Content Guidelines

When uploading images to Study Nook through our editors, flash cards, tests, or any other platform features, you must ensure that all visual content complies with our community standards. Images must be educational in nature and appropriate for an academic environment.

Specifically prohibited image content includes:

• Nudity, pornography, or any sexually explicit material
• Violent, graphic, or disturbing imagery
• Content that promotes harassment, hate speech, or discrimination
• Copyrighted images used without proper permission or fair use justification
• Personal information of others (such as screenshots containing private messages or personal documents)

All uploaded images are subject to review, and we reserve the right to remove content that violates these guidelines.

Enforcement and Consequences

Violation of these conduct rules may result in:

• Content removal or editing restrictions
• Temporary suspension of account privileges
• Permanent account termination
• Reporting to relevant authorities when required by law

We reserve the right to take immediate action against accounts that pose a risk to our community or violate applicable laws. The severity of consequences will depend on the nature and frequency of violations.

Termination by Study Nook

We may suspend or terminate your access to the platform at our discretion, with or without notice, if you violate these Terms or use the platform in a way that may harm others or the integrity of our services.

Termination by You

You may terminate your account at any time by contacting us at [email protected] or by using the account deletion feature in your account settings. Upon deletion:

• Your account and associated data will be permanently deleted
• Any active subscription will be cancelled (note: you may still be charged for the current billing period)
• User content you created may be retained in anonymized form or deleted, at our discretion
• Some information may be retained as required by law or for legitimate business purposes

Effect of Termination

Upon termination, your right to use the services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to: Content Ownership, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Dispute Resolution.

Informal Resolution

Before filing a claim against Study Nook, you agree to try to resolve the dispute informally by contacting us at [email protected]. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Study Nook may bring a formal proceeding.

Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Study Nook agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the services (collectively, "Disputes") will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual action in small claims court if the claims qualify.

Arbitration will be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be held in Knox County, Tennessee, or at another mutually agreed location. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND STUDY NOOK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Study Nook agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions

Notwithstanding the above:

• Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights
• Claims that qualify for small claims court may be filed there

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Waiver

The failure of Study Nook to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. Study Nook may assign these Terms at any time without notice or consent.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Study Nook on the services, constitute the entire agreement between you and Study Nook concerning the services.

Force Majeure

Study Nook shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
